Welcome to Merrylux! The terms "we", "us" and "our" refer to Merrylux. Merrylux operates this store and website, including all related information, content, features, tools, products and services, in order to provide you, the customer, with a curated shopping experience (the "Services"). Merrylux is powered by Shopify, which enables us to provide the Services to you.

The following terms and conditions, together with any policies referred to in this document (these "Terms of Service" or "Terms"), describe your rights and responsibilities when you use the Services.

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your country of residence and that you have given us your consent to allow any of your minor dependents to use the Services on devices you own, purchase or manage.

To use the Services, including accessing or browsing our online store or purchasing any of the products or services we offer, you may be asked to provide certain information, such as your email address, billing information, payment information and shipping information. You represent and warrant that all information you provide in our store is correct, current and complete, and that you have all the rights necessary to provide this information.

You are solely responsible for maintaining the security of your account credentials and for all activity on your account. You may not transfer, sell, assign or license your account to any other person.

We reserve the right to discontinue the sale of any product at any time, and we may limit the quantities of any product we offer to any person, geographic region or jurisdiction, on a case-by-case basis.

SECTION 3 - ORDERS

When you place an order, you are making an offer to purchase. Merrylux reserves the right to accept or reject your order for any reason, at its sole discretion. Your order is not accepted until Merrylux confirms that it has accepted it. We must receive and process your payment before accepting your order. You should review your orders carefully before completing your purchase, as Merrylux may not be able to process a cancellation request after an order has been accepted. If we do not accept, change or cancel an order, we will try to notify you using the email address, billing address or phone number you provided when the order was placed.

You may request a refund or replacement for your purchase only in accordance with our Warranty, Returns & Refund Policy.

You represent and warrant that your purchase is for your personal or household use and not for resale or commercial export.

SECTION 4 - PRICES AND BILLING

Prices, discounts and promotions are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed and will be shown in the order confirmation email sent to you. Unless expressly stated otherwise, published prices do not include taxes, shipping fees, handling fees, customs duties or import charges. In international shipments, customs duties, import taxes and similar charges are the buyer's responsibility, as stated in our Shipping Policy.

From time to time we may offer promotions on the Services that may affect pricing and that are governed by terms and conditions that differ from these Terms. If there is a conflict between the terms of a promotion and these Terms, the terms of the promotion will prevail.

You agree to provide current, complete and accurate purchase, payment and account information for all purchases made in our store. You agree to promptly update your account and other information, including your email address, card numbers and expiration dates, so that we can complete your transaction and contact you as needed.

You represent and warrant that (i) the payment information you provide is true, correct and complete, (ii) you are duly authorized to use the payment method for the purchase, (iii) the charges you incur will be honored by your card issuer or payment provider, and (iv) you will pay the charges you incur at the published prices, including shipping and handling fees and all applicable taxes, if any.

SECTION 5 - SHIPPING AND DELIVERY

The processing and shipping times stated in our Shipping Policy (3 to 5 business days of processing and 15 to 20 business days of shipping) are estimates and are not guaranteed. We are not responsible for delays caused by the carrier, customs procedures or events beyond our control. Once we hand the products over to the carrier, title and risk of loss pass to you, without prejudice to the provisions of our Warranty, Returns & Refund Policy regarding orders confirmed as lost by the carrier.

We do not guarantee delivery before any specific date or holiday. Orders placed during peak season (November and December) may experience additional delays beyond our control. We are not liable for, and will not accept claims or refunds based on, an order arriving after a specific date or holiday when the shipment arrived within the stated timeframe.

SECTION 6 - SAFE USE OF THE PRODUCT

The product must be used in accordance with its instructions and with applicable local laws. You agree not to use it in a way that distracts or dazzles drivers or other people, and not to project it onto moving vehicles or onto people. Merrylux is not responsible for damages, injuries, fines or penalties arising from improper use of the product.

SECTION 7 - ILLUSTRATIVE IMAGES AND PRODUCT RESULTS

The images and videos on the Site are for illustration purposes. Actual results, including the brightness, size and sharpness of the projection, may vary depending on the conditions of use.

SECTION 8 - INTELLECTUAL PROPERTY

Our Services, including but not limited to all trademarks, brands, text, samples, images, graphics, product reviews, videos and audio, and the design, selection and arrangement thereof, are owned by Merrylux, its affiliates or its licensors and are protected by applicable intellectual property laws in Colombia and internationally.

These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store or transmit any material from the Services without our prior written consent. Except as expressly provided in these Terms, nothing in these Terms grants or shall be construed as granting you a license or other rights under any patent, trademark, copyright or other intellectual property of Merrylux, Shopify or any third party. Unauthorized use of the Services may violate intellectual property laws. All rights not expressly granted herein are reserved by Merrylux.

The names, logos, product and service names, designs and slogans of Merrylux are trademarks of Merrylux or its affiliates or licensors. You must not use such trademarks without the prior written permission of Merrylux. The name, logo, product and service names, designs and slogans of Shopify are trademarks of Shopify. All other names, logos, product and service names, designs and slogans on the Services are trademarks of their respective owners.

SECTION 9 - OPTIONAL TOOLS

You may be provided with access to third-party tools as part of the Services, which we do not monitor and over which we have no control or input.

You acknowledge and agree that we provide access to such tools "as is" and "as available" without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.

Any use by you of optional tools offered through the site is entirely at your own risk and discretion, and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party providers.

SECTION 11 - RELATIONSHIP WITH SHOPIFY

Merrylux is powered by Shopify, which enables us to provide the Services to you. However, any sale or purchase you make in our store is made directly with Merrylux. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of the sales between you and Merrylux, including any injury, damage or loss resulting from the purchase of products and services. You hereby expressly release Shopify and its affiliates from any claims, damages and liabilities arising from or related to your purchase and transaction with Merrylux.

SECTION 12 - PRIVACY POLICY

All personal information we collect through the Services is subject to our Privacy Policy, and certain personal information may be subject to the Shopify Consumer Privacy Policy (https://www.shopify.com/legal/privacy/consumers). By using the Services, you acknowledge that you have read our Privacy Policy.

In addition, you agree not to: (a) upload or transmit viruses or any other type of malicious code that is or may be used in any way that will affect the functionality or operation of the Services; (b) reproduce, duplicate, copy, extract, sell, resell or exploit any portion of the Services; (c) collect or track the personal information of others; (d) spam, phish, pharm or pretext the Services; (e) use any robot, spider, scraper, data collection and extraction tools, automated devices or processes, artificial intelligence tools (such as agentic AI), or automated or manual means to access the Services; or (f) interfere with, circumvent or bypass the security or authorization features, robot exclusion headers or other measures we employ to restrict access to the Services. We may terminate this agreement or your access to the Services (or any part thereof) in our sole discretion at any time without notice, and you will remain liable for all amounts due up to and including the date of termination.

The following sections will continue to apply following any termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provisions that by their nature should survive termination.

SECTION 18 - DISCLAIMER OF WARRANTIES

The information presented on or through the Services is made available solely for general information purposes. We do not warrant the accuracy, completeness or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability arising from any reliance placed on such materials by you or any other visitor to the Services, or by anyone who may be informed of any of their contents.

UNLESS EXPRESSLY STATED OTHERWISE BY MERRYLUX, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" FOR YOUR USE, WITHOUT ANY REPRESENTATION, WARRANTY OR CONDITION OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE AND NON-INFRINGEMENT. WE DO NOT GUARANTEE, REPRESENT OR WARRANT THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE. SOME JURISDICTIONS LIMIT OR DO NOT ALLOW THE DISCLAIMER OF IMPLIED OR OTHER WARRANTIES, SO THE ABOVE DISCLAIMER MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS LIMITS ANY RIGHTS YOU HAVE UNDER MANDATORY CONSUMER PROTECTION LAWS THAT CANNOT BE EXCLUDED BY AGREEMENT.

SECTION 19 - LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO CASE SHALL MERRYLUX, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INJURY, LOSS, CLAIM OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF ANY OF THE SERVICES OR ANY PRODUCTS PROCURED USING THE SERVICES, OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SERVICES OR ANY PRODUCT, INCLUDING, BUT NOT LIMITED TO, ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF THE SERVICES OR ANY CONTENT (OR PRODUCT) POSTED, TRANSMITTED OR OTHERWISE MADE AVAILABLE VIA THE SERVICES, EVEN IF ADVISED OF THEIR POSSIBILITY.

SECTION 20 - INDEMNIFICATION

You agree to indemnify, defend and hold harmless Merrylux, Shopify and our affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers from any loss, damage, liability or claim, including attorneys' fees, payable to any third party due to or arising out of (1) your breach of these Terms of Service or the documents they incorporate by reference, (2) your violation of any law or the rights of a third party, or (3) your access to and use of the Services.

We will notify you of any indemnifiable claim, provided that failure to promptly notify you will not release you from your obligations unless you suffer material harm. We may control the defense and settlement of such claim at your expense, including the choice of counsel, but we will not settle any claim that involves non-monetary obligations on your part without your consent (which will not be unreasonably withheld). You will cooperate in the defense of indemnification claims, including by providing relevant documents.

SECTION 21 - SEVERABILITY

If any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms of Service. Such determination shall not affect the validity and enforceability of any other remaining provisions.

Our failure to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

These Terms of Service and any policies or operating rules posted by us on this site or with respect to the Service constitute the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

Any ambiguity in the interpretation of these Terms of Service shall not be construed against the drafting party.

These Terms of Service and any separate agreement under which we provide you Services shall be governed by and construed in accordance with the laws of the Republic of Colombia, without prejudice to any rights that the consumer protection laws of your country of residence grant you on a mandatory basis (for example, the 14-day right of withdrawal for customers in the European Union, described in our Warranty, Returns & Refund Policy). You and Merrylux submit to the jurisdiction of the competent courts of Colombia for any dispute not resolved through alternative means.
